Terms of Service

1. Agreement to Terms

By accessing or using the m3mory API ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is provided by m3mory Inc., a Delaware corporation ("Company", "we", "us").

2. Definitions

• "Service" means the m3mory API, dashboard, and related services.
• "Customer" means any individual or entity that registers for and uses the Service.
• "Customer Data" means all data submitted to the Service by or on behalf of the Customer, including conversation messages, extracted memories, entities, and relationships.
• "API Key" means the authentication credential issued to access the Service.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.

4. Account Registration and Security

To use the Service, you must create an account and obtain API credentials. You are responsible for maintaining the confidentiality of your API keys and for all activity under your account. You must notify us immediately of any unauthorised use of your account or API keys.

5. Description of Service

m3mory provides a memory-as-a-service API for AI applications. The Service extracts knowledge from conversations, stores it in structured form, and retrieves relevant context on demand.

6. Your Data Is Private

Your memories belong to you. We make this commitment clearly:

• No training: Your memories, entities, and extracted knowledge are never used to train AI models, improve our algorithms, or build datasets. Ever.
• No sharing: Your data is never sold, licensed, or shared with third parties for their benefit. Data is only shared with infrastructure providers (e.g., OpenAI for embeddings) as strictly necessary to provide the Service.
• No monitoring or moderation: We do not monitor, review, moderate, or make any decisions about your account based on the content of your memories. All processing is fully automated. We are infrastructure, not a platform.
• No cross-contamination: Your memories are completely isolated from other customers. Row-level security ensures no customer can ever access another customer's data.
• Full deletion: When you delete memories or your account, the data is removed from all live systems. Residual copies in encrypted backups are overwritten through standard rotation and are not individually accessible.

7. Content Ownership and Intellectual Property

7.1 Your Content

You retain all ownership rights to your Customer Data. By using the Service, you grant us a limited licence to process, store, and retrieve your data solely for the purpose of providing the Service to you. This licence terminates when you delete your data or close your account.

7.2 Our IP

The Service, including our retrieval engine, scoring algorithms, extraction pipeline, and all related technology, remains our intellectual property. Nothing in these terms grants you any rights to our underlying technology.

7.3 Feedback

If you provide feedback or suggestions about the Service, we may use them without obligation to you. This does not extend to your Customer Data.

8. Subscriptions and Billing

8.1 Plans

The Service is offered in Free, Pro, and Scale tiers. Plan details, limits, and pricing are listed on our pricing page and may be updated with 30 days' notice.

8.2 Billing

Paid plans are billed monthly via Stripe. All prices are in USD. Payment is due at the start of each billing cycle. Failed payments may result in service downgrade or suspension.

8.3 Overage

On Pro and Scale plans, usage beyond your plan's included allowance is billed as overage at the rates listed on our pricing page. You can set a monthly overage cap in your dashboard to control costs.

8.4 Auto-Renewal

Paid subscriptions renew automatically each month. You may cancel at any time from your dashboard. Cancellation takes effect at the end of your current billing cycle.

8.5 Refunds

We offer a full refund within 14 days of your first paid subscription if you are not satisfied. After that, no refunds are provided for partial months. Overage charges are non-refundable.

8.6 Free Tier

The Free tier is subject to hard usage caps. No overage billing applies. We reserve the right to modify or discontinue the Free tier with 30 days' notice.

9. AI Services Disclaimer

The Service uses artificial intelligence to extract, store, and retrieve information. AI is inherently probabilistic. We do not guarantee that:

• All relevant information will be extracted from every conversation
• Retrieved context will always be complete or accurate
• The Service will produce identical results for identical inputs across different time periods

The Service is a best-effort retrieval system. You are responsible for validating critical information and should not rely on the Service as the sole source of truth for decisions with significant consequences.

10. Acceptable Use

We keep this simple: do not use the Service to harm others or break the law. Specifically, you agree not to:

• Use the Service for any purpose that is unlawful in your jurisdiction
• Attempt to reverse-engineer the retrieval engine or scoring algorithms
• Share API keys with unauthorised parties
• Exceed your plan's rate limits through circumvention
• Interfere with or disrupt the Service or its infrastructure

We comply with all mandatory reporting obligations under applicable law. Account actions (suspension, termination) are based on violations of these terms, billing issues, or infrastructure abuse. We do not take action based on the content of your memories.

11. Limitation of Liability

To the maximum extent permitted by law, m3mory Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for all claims related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. The Service is provided "as is" and "as available" without warranty of any kind, express or implied.

12. Indemnification

You agree to indemnify and hold harmless m3mory Inc., its officers, directors, and employees from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.

13. Service Level

We target 99.9% uptime for paid plans. Scheduled maintenance windows will be announced in advance where possible. We are not liable for downtime caused by factors beyond our reasonable control, including third-party service outages, natural disasters, or cyberattacks.

14. Termination

Either party may terminate this agreement at any time. You may cancel your account and export your data from your dashboard at any time. We may suspend or terminate your access if you violate these terms, fail to pay, abuse our infrastructure, or if required by law. We will not suspend or terminate your account based on the content of your memories. Upon termination, your stored data will be removed from all live systems within 30 days unless you request an export beforehand.

15. Changes to Terms and Pricing

We may update these terms, conditions, and pricing from time to time. For paid tier customers, material changes to terms or pricing will be communicated via email or through the dashboard with at least 30 days' notice before taking effect. For free tier users, we reserve the right to change these terms, conditions, and pricing at any time without notice. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

16. Fair Use Storage Policy

The Service includes reasonable storage of extracted memories, entities, and embeddings as part of your plan. Storage is subject to a fair use policy. We expect normal usage patterns consistent with the memory retrieval use case.

• Free: Up to 100,000 memories
• Pro: 1 to 2 million memories
• Scale: 10 to 100 million memories

These are soft limits intended to support genuine memory retrieval usage. If your storage usage is significantly outside normal patterns (for example, using the API primarily as a bulk data store rather than a memory service), we may contact you to discuss your usage. We will always give you at least 30 days' notice before taking any action related to storage limits. For requirements beyond these guidelines, contact us to discuss enterprise arrangements.

17. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

18. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
